1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of the Haulio platform (the "Platform"), operated by Haulio ApS ("Haulio", "we", "us"). The Platform connects car dealerships, fleet operators, and similar vehicle sellers ("Dealers") with transport and logistics providers ("Carriers") for the purpose of arranging finished vehicle transport ("FVL") within the EU/EEA and UK.

By creating an account, accessing, or using the Platform, you ("User", "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you confirm you have authority to bind that company, and "you" refers to that company.

The Platform is intended for use by businesses (dealers, fleet operators, freight forwarders, and licensed carriers) acting in the course of their trade, business, craft, or profession. It is not intended for consumers, and consumer protection law relating to distance contracts does not apply to transactions concluded through the Platform.

2. The Platform and Our Role

Haulio operates an online marketplace that enables Dealers to publish transport requests ("Loads") and Carriers to view, bid on, and accept those Loads. Haulio is an intermediary: we are not a party to, and do not guarantee performance of, the underlying transport contract concluded between a Dealer and a Carrier, unless expressly stated otherwise (for example, where a Load is fulfilled through Haulio's own carrier network).

Where Haulio facilitates matching via its own network of carriers or acts as a contracting freight forwarder for a given Load, the specific terms of that engagement will be confirmed in the relevant Load confirmation or a separate agreement, which supplements these Terms.

3. Eligibility and Account Registration

  • You must be a legally registered business entitled to operate in your relevant jurisdiction (with a valid business/VAT registration, and for Carriers, applicable transport licenses, permits, and insurance).
  • You must provide accurate, current, and complete registration information and keep it up to date.
  • You are responsible for safeguarding your account credentials and for all activity under your account.
  • Haulio may verify eligibility documentation (business registration, carrier license, insurance certificates) before or during onboarding, and may suspend accounts pending verification.

4. Loads, Bidding, and Matching

Dealers may post Loads specifying pickup/delivery locations, vehicle details, timing, and price expectations. Carriers may view available Loads and submit bids or accept posted rates, subject to any capacity, geographic, or eligibility restrictions set by Haulio or the Dealer.

4.1 Ranking and Matching Parameters

In line with the EU Platform-to-Business Regulation (2019/1150), Haulio discloses the main parameters used to rank or match Loads and Carriers, which may include: proximity and route fit, carrier rating and reliability history, price competitiveness, available capacity, response time, and compliance status (valid insurance/license documentation on file). Haulio does not accept payment from Carriers in exchange for preferential ranking.

4.2 Acceptance and Cancellation

Once a Carrier accepts a Load and the Dealer confirms, a binding transport arrangement is formed between the Dealer and Carrier. Cancellation fees, no-show fees, and detention/waiting time charges (if any) will be as set out in the Load confirmation or the applicable rate card communicated on the Platform.

5. Non-Circumvention

Where a Dealer and a Carrier have been introduced or matched through the Platform, the parties agree not to circumvent Haulio by taking a Load, or any substantially similar future Load between the same parties, outside the Platform in order to avoid Haulio's applicable fees.

This obligation applies for as long as the parties continue to transact on Loads arising from that introduction, and in any event for a period of 12 months from the date the relevant Load is closed on the Platform. It does not apply to a Dealer and Carrier relationship that existed independently of Haulio prior to being matched on the Platform, provided this can be evidenced on request.

If Haulio reasonably determines that a Dealer and Carrier have transacted off-Platform in breach of this section, Haulio may charge the facilitation fee that would otherwise have applied, in addition to any other remedies available under these Terms, including suspension or termination of the relevant accounts.

6. Fees and Payment

Haulio charges either (a) a take rate/commission on Loads matched through the marketplace, or (b) a subscription fee for Dealers on qualifying volume tiers, as set out in the applicable pricing terms communicated to you at onboarding or on the Platform. Fees are exclusive of VAT unless stated otherwise; VAT will be applied in accordance with applicable EU reverse-charge or domestic VAT rules based on the parties' locations.

Payments between Dealers and Carriers, and/or to Haulio, may be processed through a third-party payment processor. By using payment features on the Platform, you agree to that processor's terms in addition to these Terms. Haulio may withhold, offset, or delay payouts where a dispute, fraud concern, or verification issue is unresolved.

Invoices are issued electronically. Payment terms and any late-payment interest will be specified on the relevant invoice or in your Dealer/Carrier agreement.

7. Carrier Obligations

  • Maintain all licenses, permits, and insurance (including cargo/goods-in-transit insurance appropriate to finished vehicle transport) required to lawfully perform the transport.
  • Perform transport in accordance with applicable road transport law, safety standards, and any vehicle handling/condition-reporting requirements communicated via the Platform.
  • Promptly report damage, delay, or incidents through the Platform's reporting tools.

8. Dealer Obligations

  • Provide accurate vehicle, pickup, and delivery information for each Load.
  • Ensure vehicles are available, accessible, and roadworthy/loadable at the agreed pickup time.
  • Pay agreed amounts for completed transport in accordance with the applicable payment terms.

9. Ratings, Content, and Data on the Platform

Users may submit ratings, reviews, load documentation (e.g. condition photos), and other content ("User Content"). You retain ownership of your User Content but grant Haulio a worldwide, royalty-free license to host, display, and use it to operate, improve, and promote the Platform. Haulio may remove content that is inaccurate, unlawful, or violates these Terms.

As required under the P2B Regulation and GDPR, information on how Haulio accesses, uses, and shares data generated through use of the Platform (including ranking and performance data) is set out in our Privacy Policy.

10. Liability

To the maximum extent permitted by law, Haulio's role is limited to providing the matching/marketplace platform. Haulio is not liable for the acts, omissions, delays, or defaults of Dealers or Carriers, including loss of or damage to vehicles in transit, except to the extent Haulio itself is directly and separately engaged as the contracting carrier or forwarder for a given Load.

Where Haulio is found liable for any claim arising from use of the Platform, its aggregate liability shall not exceed the fees paid to Haulio in respect of the Load or the 12-month period giving rise to the claim, whichever is lower, save for liability that cannot be excluded or limited under applicable law (e.g. death, personal injury, fraud, gross negligence).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded under EU or Danish law.

11. Suspension and Termination

Haulio may suspend or terminate a User's access for breach of these Terms, failure of eligibility verification, suspected fraud, or non-payment, with notice where reasonably practicable. Users may terminate their account at any time via account settings or by contacting us; outstanding obligations (unpaid fees, in-progress Loads) survive termination.

12. Complaint Handling (P2B Regulation)

Dealers and Carriers may raise complaints regarding the operation of the Platform, ranking, suspension, or alleged breaches of these Terms via contact@haulio.dk. Haulio will acknowledge complaints within a reasonable time and aims to resolve them through direct engagement before resorting to external mediation, as encouraged under the P2B Regulation.

13. Notices and Illegal Content (DSA)

If you believe content on the Platform is illegal or violates these Terms, you may notify us at contact@haulio.dk. We will assess and act on valid notices in accordance with applicable law.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to Users in advance via email or in-platform notice, with a reasonable transition period before they take effect, consistent with P2B Regulation requirements. Continued use of the Platform after changes take effect constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of Denmark, without regard to conflict-of-law principles. Subject to any mandatory consumer or local law protections, disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Danish courts, with venue at the competent Danish court for Haulio's registered office (Kongens Lyngby).
